 |  |  | | | Memorandum of association | The memorandum of association, also called articles of association or by-laws, establishes the rules by which the company must be governed.
A memorandum of association for any type of company should contain, at least:
- Company type
- Business/company name (approved by RNPC)
- Business/company object (approved by RNPC)
- The names or signatures of all founding shareholders
- Company´s registered office (exact location)
- Company´s capital
- Identification of the members
- The share of the capital and type of capital contribution of each member
The Portuguese Companies Act governs the rules applicable to companies, the employ of some of which may be regulated by the articles of association.
The provisions found in the Companies Code may only be derogated from in the memorandum of association, or in a member’s resolution, in the event derogation is allowed by the memorandum of association. | |  |  |  |
